Welcome to CodelistIt (“we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our website, platform, and services (collectively, the “Platform”). By creating an account, listing a product or customization, purchasing, or otherwise using the Platform, you agree to be bound by these Terms, along with our Privacy Policy and any additional guidelines we may provide.

If you do not agree, you may not use the Platform.


1. Definitions

  • Client – A user who browses, purchases, or requests customizations, products, or services listed on the Platform.
  • Project Owner – An individual or business that created the original product (e.g., WordPress theme, Shopify app, Laravel script, Admin Panel) and lists it on CodelistIt.
  • Developer – An individual or business who lists completed customizations, add-ons, or services available for purchase by Clients.
  • Listing – A code package, customization, plugin, script, add-on, or related service published on the Platform.
  • Transaction – Any purchase, license, or agreement formed between users through the Platform.

2. Eligibility

  • You must be at least 18 years old to use the Platform.
  • You agree to provide accurate and truthful information when registering and maintaining your account.
  • You are responsible for keeping your login credentials secure.

3. User Roles and Responsibilities

A. Clients

  • May browse and purchase Listings from Developers or Project Owners.
  • Must comply with license terms attached to each purchase.
  • May request additional customizations or services from trusted Developers through the Platform.
  • Agree not to misuse purchased code, resell without authorization, or infringe intellectual property rights.

B. Project Owners

  • Verify ownership of their original product before listing.
  • May upload their product once and sell it to multiple Clients.
  • Can recommend trusted Developers and build an ecosystem around their product.
  • Are responsible for ensuring their Listings are lawful, original, and do not infringe on third-party rights.

C. Developers

  • May list previously completed customizations, add-ons, or services under the appropriate category (e.g., WordPress Themes, Shopify Plugins, Laravel Scripts).
  • Must ensure Listings are functional, original, and accurately described.
  • Are responsible for ongoing support terms advertised in their Listing.
  • Agree not to upload unauthorized copies, pirated software, or infringing materials.

4. Licensing and Usage

When purchasing a Listing, Clients are granted a license to use the product under one of the following options, unless otherwise specified in the Listing:

A. Standard License

  • Allows use of the product in one project (personal or commercial).
  • The product may be modified for your own use.
  • You may not resell, redistribute, or make the product available “as-is” to third parties.

B. Extended License

  • Allows use of the product in multiple projects or commercial applications.
  • May be included in end products for sale, provided the original code is not made available in open or redistributable form.
  • Still prohibits direct resale of the unmodified source code.

C. Custom License Terms

  • Project Owners and Developers may define their own license restrictions (e.g., support duration, usage limitations, white-label permissions).
  • Custom license terms must be clearly displayed in the Listing.
  • In case of conflict, the license published in the Listing takes precedence.

D. Ownership

  • Project Owners and Developers retain intellectual property rights over their Listings.
  • Clients receive a license to use, not ownership of, the product.

5. Transactions, Refunds, and Disputes

A. Transactions and Payments

  • Payments are processed through third-party payment providers.
  • CodelistIt may charge service or transaction fees, disclosed at the time of purchase.

B. Refunds

  • Digital products (code, scripts, themes, plugins, add-ons) are generally non-refundable once downloaded, except where required by law.
  • Refunds may only be approved in limited cases: defective products, undelivered items, or duplicate purchases.
  • Refunds will not be granted for buyer’s remorse, failure to read requirements, or issues caused by modifications outside the original code.

C. Services and Customizations

  • Refunds may apply if the service was not delivered at all or delivered in a materially incomplete state.
  • Partial refunds may be considered for partially completed work.
  • Disputes about quality will be reviewed case-by-case.

D. Dispute Resolution Between Users

  • CodelistIt is a neutral platform and is not a direct party to transactions.
  • Users must attempt to resolve issues directly.
  • If unresolved, a Dispute Case can be opened with supporting evidence.
  • CodelistIt may issue a final decision and restrict accounts that abuse disputes.

E. Chargebacks

  • Filing a chargeback without following this Policy violates the Terms.
  • Fraudulent or abusive chargebacks may result in account suspension.

F. Refund Processing

  • Approved refunds go to the original payment method.
  • Processing times vary by payment provider.
  • Transaction fees may be deducted.

G. Special Cases

  • Custom Licenses may include different refund rules.
  • Subscriptions (if applicable) follow the rules listed at purchase.

6. Intellectual Property

  • Project Owners and Developers retain ownership of their Listings but grant Clients a license to use them per the purchase terms.
  • By uploading a Listing, you grant CodelistIt a limited license to display, promote, and distribute the Listing through our Platform.
  • You agree not to upload or distribute content that infringes intellectual property rights of others.

7. Prohibited Activities

You agree not to:

  • Circumvent the Platform by conducting transactions outside CodelistIt.
  • Post false, misleading, or fraudulent Listings.
  • Upload malicious code, viruses, or harmful software.
  • Misuse the rating/review system.
  • Violate any applicable laws or regulations.

8. Platform Rights

  • We may remove Listings or suspend accounts that violate these Terms.
  • We may update, modify, or discontinue any part of the Platform at any time.
  • We reserve the right to charge, modify, or waive fees with notice.

9. Limitation of Liability

  • CodelistIt provides the Platform on an “as is” and “as available” basis.
  • We do not guarantee uninterrupted service, error-free Listings, or results from use.
  • To the fullest extent permitted by law, CodelistIt is not liable for indirect, incidental, or consequential damages.

10. Termination

  • You may close your account at any time.
  • We may suspend or terminate accounts that violate these Terms.
  • Upon termination, your rights to access and use the Platform will cease.

11. Governing Law

These Terms are governed by the laws of [Insert Country/Province]. Any disputes will be resolved in the courts of [Insert Jurisdiction].


12. Changes to These Terms

We may update these Terms from time to time. Significant changes will be notified to users. Continued use of the Platform after changes means you accept the revised Terms.
